DRAFT for legal review · version 2026-10-v1
Membership Agreement
This agreement is between Impulso Tranquilizado, Unipessoal Lda [company number], registered at [address], which operates the private club Escudo & 20 at Rua da Palha 86, Angra do Heroísmo ("the Club"), and the person registering as a member ("the Member"). The Portuguese version prevails.
1. Admission
The Club is private; entry is for members and their guests. Registration is online and becomes active only after staff check photo ID in person. The Club may refuse or suspend memberships. [Minimum age: to be decided.]
2. Fees and payment
There is a monthly membership (auto-renewing) and a day pass. Current prices are promotional and may change; the Member is notified at least [N] days in advance and may cancel before a new price applies. Payments are processed by Stripe. Cancelling the monthly membership takes effect at the end of the paid period. [Refund policy: to be decided.]
3. Access and guests
The entry code is personal and non-transferable. Each Member may invite up to 3 people per month. A guest signs up as a member with the invitation, on the same terms (accepting this agreement and the Privacy Policy, and an in-person ID check), and receives a free day pass. The inviting Member should accompany their guest.
4. House rules
Respect for everyone; no harassment, discrimination or cheating. Take care of equipment, games and furniture; damage from misuse may be charged. Follow staff instructions. [Food and drink, opening hours, other rules: to be decided.] Breaches may lead to suspension or expulsion.
5. Autonomous robots and research equipment
The Club uses autonomous mobile robots and associated sensors for research and development. By joining, the Member acknowledges that these robots may move and operate in shared areas during their visit, and agrees to:
- not obstruct, push or handle the robots unless invited by staff;
- follow posted and staff safety instructions;
- report any incident or unusual behaviour immediately.
Anyone may ask staff to stop a robot. [Operating areas and hours, safety measures, insurance and liability: to be decided with counsel. Exclusion of liability for personal injury is limited by law.]
The Club has fixed cameras and the robots carry sensors that capture general views of the room; this is covered by the Privacy Policy. Use of footage in which the Member appears for model training requires a separate, optional consent that is not a condition of membership.
6. Personal data
How personal data is handled is described in the Privacy & Data Retention Policy.
7. Changes
The Club may update this agreement. New versions are communicated and must be accepted before the next entry.
8. Governing law and complaints
Portuguese law applies. The Club keeps a Complaints Book (paper and electronic, livroreclamacoes.pt). [Alternative dispute resolution: body to be named.]
